This warranty and liability disclaimer governs your use of the software and hardware products provided by MeshTrac Solutions Inc. By using our products, you agree to the terms and conditions outlined in this disclaimer.
a) Software: MeshTrac warrants that the software products provided will be free from defects in materials and workmanship under normal use for a period of time specified in the accompanying documentation. This warranty is limited to the original purchaser and is non-transferable.
b) Hardware: MeshTrac warrants that the hardware products provided will be free from defects in materials and workmanship under normal use for a period of time specified in the accompanying documentation. This warranty is limited to the original purchaser and is non-transferable.
a) Software: MeshTrac shall not be liable for any direct, indirect, incidental, special,consequential, or exemplary damages resulting from the use or inability to use the software products, including but not limited to loss of profits, data, or business interruption.
b) Hardware: MeshTrac shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use or inability to use the hardware products, including but not limited to loss of profits, data, or business interruption.
You agree to indemnify, defend, and hold harmless MeshTrac and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages,losses, or expenses, including reasonable attorney's fees, arising out of or in connection with your use of our software and hardware products.
This warranty and liability disclaimer does not cover:
a) Any issues caused by misuse, abuse, accident, alteration, or improper installation of the software or hardware products.
b) Any defects or damages resulting from software or hardware not provided by [Your Company Name].
c) Any failure or malfunction due to compatibility issues with third-party software or
hardware.
This warranty and liability disclaimer shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any legal action or proceeding arising out of or relating to this disclaimer shall be exclusively settled in the courts located in Ontario, Canada.
The site, material and products on this site are provided “AS IS,” and MESHTRAC makes no representations or warranties, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, or title; that the contents of the site, materials or products are suitable for any purpose; nor that the implementation of such products and contents will not infringe any third party patents, copyrights, trademarks or other rights. MESHTRAC will not be liable for any direct, indirect, special or consequential damages arising out of any use of the site, materials or products or the performance or implementation of the contents thereof.
The period of warranty is 12 months from the date of shipment unless otherwise specified for hardware devices only. Provided that the Customer has properly used the hardware and maintained them in good conditions MESHTRAC and its associated partners warrants that the hardware products to be delivered hereunder, if properly used and serviced, will be free from defects for Twelve (12) months following date of shipment.
This warranty excludes the device battery and doesn’t cover the cases where the device lifecycle would be inferior to the warranty period due to specific user-defined settings, like very short beacon cycle. MESHTRAC and its associated partners warrants MESHTRAC hardware Products against defects in materials and workmanship. MESHTRAC warrants that Software will not fail to execute its programming instructions due to defects in materials and workmanship when
properly installed and used on the device designated by MESHTRAC.
MESHTRAC does not warrant that any open software will operate in hardware and software combinations selected by Customer, or meet requirements specified by Customer. MESHTRAC does not warrant that the operation of Products will be uninterrupted or error free.
If MESHTRAC receives notice of defects or non-conformance to hardware Specifications, or substantial non-conformance to MESHTRAC owned standard Software Specifications during the warranty period, MESHTRAC will, at its option, repair or replace the affected Products. If MESHTRAC is unable, within a reasonable time, to repair, replace or correct a defect or non- conformance in a Product to a condition as warranted, Customer will be entitled to a credit
note of the purchase price upon prompt return of the Product to MESHTRAC.
Customer will pay shipping expenses for return of such Products to MESHTRAC. MESHTRAC with its associated partners will pay expenses for shipment of repaired or replacement Products. MESHTRAC warrants that MESHTRAC Support will be provided in a professional and workmanlike manner. The warranties provided herein will apply only to those Products and Support which are branded by MESHTRAC and its associated partners with a MESHTRAC trade mark. Any custom printed device product does not warrant hardware or support even if included with other MESHTRAC branded products or support.
Furthermore, MESHTRAC provides all such third party Products and Support AS IS. However, the original manufacturers or suppliers may provide their own warranties as specified in the documentation accompanying such third party Products and Support. The above warranties do not apply to defects resulting from:
– improper or inadequate maintenance by Customer
– Customer or third party supplied software, interfacing or supplies
– unauthorized modification
– improper use or operation outside of the Specifications for the Product
– abuse, negligence, accident, loss or damage in transit
– improper site preparation or
– unauthorized maintenance or repair.
THE ABOVE WARRANTIES ARE EXCLUSIVE AND NO OTHER WARRANTY, WHETHER WRITTEN OR ORAL, IS EXPRESSED OR IMPLIED. TO THE EXTENT PERMITTED BY LAW, MESHTRAC SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.
